At Ufer, Spaniola & Frost, P.C., we provide our clients with a full range of business services, whether providing general business and legal advice, forming a new entity or meeting specific needs as they arise. We have expertise in preparing shareholders agreements, operating agreements, buy-sell agreements, by-laws and other organizational documents. If necessary, we will work closely with our clients’ tax advisors to assure our clients receive the most beneficial tax treatment.

For many of our closely-held clients, we act as outside general counsel, providing advice and assistance on a variety of matters, including contractual, employment and transactional matters and the preparation of agreements, standard terms and conditions and other applicable documentation. Bob Ufer has vast experience as an owner of various businesses for the last 20+ years and provides unique insights and practical solutions in addition to legal ones.

Mergers & Acquisitions

Ufer, Spaniola & Frost, P.C. has extensive experience representing our clients in the purchase and sale of businesses, including equity sales, asset sales, mergers and other acquisitions, over a variety of industries. Whether the size of the transaction is under a hundred thousand dollars or tens of millions, we can handle both and all in between.

In a transaction, we can provide a full range of services including negotiating and drafting the purchase or sales agreement and other closing documents, conducting and coordinating due diligence, negotiating and reviewing loan documents, assisting with employee issues and handling other matters. In certain very large transactions, we may act as the quarterback who not only provides legal and business advice, but who also manages and coordinates a team of professionals to provide the best service for the client.

Real Estate

At Ufer, Spaniola & Frost, P.C., we can assist our clients with a broad range of matters involving real estate. We frequently represent clients in the purchase, sale or lease of various types of real property, including commercial and industrial buildings and residential parcels. We can handle all aspects of these transactions, including negotiating and preparing the purchase agreement, lease and other closing documents, handling title and survey matters and coordinating environmental inspections and reviews, if necessary. We have expertise in negotiating and reviewing loan agreements and mortgages for any financing. We also prepare and review easements, rights of way and other use restrictions for real estate or its development.

Estate Planning & Administration

At Ufer, Spaniola & Frost, P.C., we assist many of our clients with their estate and tax planning needs. We provide advice and service to a wide range of estate plan clients; from small, simple estates to large and very complicated ones which may require sophisticated estate tax and gift planning. When performing our planning, we look at each client’s personal and financial situation and prepare a plan to match the client’s circumstances and desires.

In addition, Ufer, Spaniola & Frost, P.C. assists and provides services to clients in the administration of trusts or probate estates. We have expertise in opening and managing estates in the probate court including preparing the necessary documentation. In addition, the firm has administered small and large trusts, which may include providing advice and assistance on selling trust assets or reorganizing companies owned by a trust.

Commercial Litigation & Dispute Resolution

The firm has a long history of handling complex commercial litigation over a broad type of industries for both privately and publicly owned companies. The types of matters handled include cases involving breach of contract, business torts, employment-related matters, enforcement of non-competition or non-solicitation covenants, shareholder or member disputes and real estate/construction issues. The firm has handled probate litigation in support of its estate and trust administration practice. In addition to handling litigation, the firm also advises and counsels its clients with the potential goal of resolving a dispute before litigation is commenced.
